Acknowledgment, Rules & Terms

Purpose

The Outcome Logix Sales Referral Program (“Sales Referral Program”) is designed to encourage individuals to refer qualified prospective clients, partners, or project opportunities to Outcome Logix, LLC (“Outcome Logix”).

Participation in this program is voluntary and subject to the terms and conditions outlined below.

1. Eligibility to Participate

To be eligible to participate in the Sales Referral Program, the referrer must:

• Be an individual (not a business entity, unless expressly approved in writing)
• Be 18 years of age or older
• Be legally authorized to conduct business in the United States (or applicable jurisdiction)
• Comply with all applicable laws, ethical standards, and contractual obligations

Outcome Logix reserves the right, at its sole discretion, to approve, reject, or disqualify any referral.

2. Eligible Sales Referrals (“Referred Opportunities”)

A sales referral is considered eligible only if:

• The referred company, contact, or opportunity is new to Outcome Logix (i.e., not an existing client, active prospect, or opportunity in Outcome Logix’s CRM within the past 12 months)
• The referral has not already been introduced to or actively pursued by Outcome Logix
• The referrer is the first person to submit the referral
• The referred party has consented to being contacted by Outcome Logix
• The referral results in a legitimate business opportunity, including contract, contract-to-hire, full-time hire, or project-based work

Only one referral reward may be paid per referred opportunity, regardless of the number of roles, projects, or extensions resulting from the engagement.

Self-referrals are not permitted.

3. Referral Submission Requirements

To qualify, referrals must be submitted with complete and accurate information, which may include:

• Company name
• Primary contact name, title, email, and phone number
• Description of the opportunity (contract, CTH, full-time, or project)
• Estimated duration and scope (if known)
• Relationship to the referred contact

Outcome Logix may require referrals to be submitted through a designated referral form, email, or platform. Incomplete or inaccurate submissions may be disqualified.

4. Referral Reward Eligibility & Conditions

A referral reward may be earned only if all of the following conditions are met:

• Outcome Logix enters into a signed agreement or statement of work with the referred party
• The engagement results in at least three (3) consecutive months of:
• Contract placement,
• Contract-to-hire placement,
• Full-time hire, or
• Project-based work
• Outcome Logix receives payment from the client for services rendered
• The client and engagement remain in good standing throughout the qualifying period
• No conflict of interest exists
• All required compliance and documentation requirements are satisfied

Partial fulfillment of these conditions does not qualify for a referral reward.

5. Referral Reward Amount

Unless otherwise agreed to in writing prior to referral submission, the standard referral reward is:

• $1,000+ USD paid to the referrer, OR
• $1,000+ USD donated to a registered charity of the referrer’s choice

Charity donations will be made at Outcome Logix’s discretion to an eligible, verified charitable organization. ( D-CSR NGO or Cause will be the first beneficiary )

6. Pre-Referral Reward Discussion Option

Outcome Logix recognizes that certain referrals may warrant alternative referral reward structures.

• Referrers may request a discussion regarding referral reward amounts prior to submitting a referral
• Any alternative reward arrangement must be reviewed, approved, and confirmed in writing by Outcome Logix before the referral form is submitted
• Submission of a referral without written confirmation constitutes acceptance of the standard minimum $1000 referral reward terms
• Verbal discussions or informal communications do not constitute approval.

7. Conflicts of Interest & Exclusions

The following individuals are not eligible to receive referral rewards:

• Outcome Logix employees involved in sales, pricing, contracting, or deal approval (unless explicitly authorized)
• Vendors, staffing firms, or third-party sales agents without a written agreement
• Individuals bound by non-compete, non-solicitation, or confidentiality obligations that would be violated by the referral
• Any referral that creates a real or perceived conflict of interest

Outcome Logix reserves the right to disqualify any referral that violates internal policies or client agreements.

8. Anonymous Referrals & Opt-Out of Referral Rewards

Referrers may choose to submit a referral anonymously. By selecting the anonymous option, the referrer expressly acknowledges and agrees that they are opting out of the Sales Referral Program, including any referral reward, compensation, donation, or associated benefit.

Anonymous referrals are eligible for review and pursuit by Outcome Logix; however, they are not eligible for referral rewards under any circumstances.

9. Payment Terms

Approved referral rewards will be paid within 30–45 days after:

• All eligibility requirements have been met, and
• Payment has been received from the client

All payments are subject to applicable tax withholding, compliance verification, and regulatory reporting requirements.

10. Special Terms for Outcome Logix Employees

If you are a current employee of Outcome Logix or its affiliates, you acknowledge and agree that:

• Participation is voluntary
• Referral activity is non-compensable time
• The approved referral reward is the sole compensation related to referrals
• Referral activity must be minimal, outside core responsibilities, and not interfere with assigned duties

Referral rewards will be treated as supplemental income and processed through payroll.

11. Special Terms for Non-Employees

If you are not an employee of Outcome Logix, you acknowledge that:

• You are not an employee, agent, or representative of Outcome Logix
• You may be required to complete onboarding and compliance documentation, including IRS Form W-9
• Payments will be reported in accordance with IRS regulations

If payments exceed applicable thresholds, a Form 1099-NEC may be issued. Failure to complete required documentation may delay or forfeit payment.

12. Program Modifications & Termination

Outcome Logix reserves the right to modify, suspend, or terminate the Sales Referral Program at any time, including changes to reward amounts, eligibility criteria, or payment terms.

All determinations regarding referral validity and payment are final. Changes may be made with or without notice.
